By accessing or using Virile.ai ("Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service, our Privacy Policy, our Notice of Privacy Practices, and our Informed Consent for Telehealth Services. If you do not agree, please do not use our services.

Virile.ai is a technology platform that facilitates connections between patients and independently licensed healthcare providers for men's health telehealth services. Virile.ai is not a medical provider, pharmacy, or health plan. We are a technology and administrative services company.

Medical care is provided through our affiliated provider networks, including OpenLoop Health and CareValidate (both pending formal approval), which maintain networks of independently licensed, board-certified physicians.

3. Medical Disclaimer

⚠️ Important: Virile.ai is not a substitute for emergency medical care. If you are experiencing a medical emergency, call 911 or visit your nearest emergency room. Our AI intake system is a tool to assist physicians — it does not provide diagnoses or medical advice. All treatment decisions are made solely by licensed physicians exercising independent clinical judgment.

Medications dispensed through our platform may include compounded formulations prepared by state-licensed pharmacies operating under FDA regulations (Section 503A or 503B). Compounded medications are not FDA-approved and have not been independently evaluated by the FDA for safety, efficacy, or quality. The decision to prescribe compounded medications is made by your licensed provider based on their clinical judgment.

Prescriptions are fulfilled by state-licensed compounding and retail pharmacies within the United States. All pharmacy partners maintain required state and federal licenses and operate in compliance with applicable pharmacy regulations.

Your use of our services is governed by our Privacy Policy and Notice of Privacy Practices, which describe how we handle your Protected Health Information in compliance with HIPAA, the HITECH Act, and applicable state privacy laws. For California residents, see our California Privacy Statement.

All content on the Virile.ai platform — including text, graphics, logos, software, and design — is owned by Virile.ai or its licensors and is protected by copyright, trademark, and other intellectual property laws.

To the maximum extent permitted by law, Virile.ai's aggregate liability for any claim arising from or related to your use of our services shall not exceed the total amount paid by you in the six (6) months preceding the claim. This limitation does not apply to liability arising from gross negligence, willful misconduct, or fraud.

Virile.ai is not liable for the medical decisions, diagnoses, or treatments provided by independently licensed physicians. Medical malpractice claims should be directed to the treating provider and their affiliated medical group.

You agree to indemnify and hold harmless Virile.ai, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the platform, your violation of these Terms, or your provision of inaccurate health information.

14. Dispute Resolution

Any disputes arising from these Terms or your use of our services will be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court. Class action lawsuits and class-wide arbitrations are not permitted.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
